Job Description

The Role

The Houston office of Clifford Chance is seeking an experienced associate to join its Capital Markets practice. The successful candidate will work on sophisticated domestic and international Capital Markets transactions, with a focus on companies, sponsors, and financial institutions operating in the energy, infrastructure, and industrial sectors.

The role offers the opportunity to advise on a broad range of debt and equity capital markets matters, including initial public offerings, follow-on offerings, high-yield debt offerings, SPAC transactions, liability management exercises, project bonds, and securities law and corporate governance matters.

The ideal candidate will have at least three years of recent law firm experience representing issuers, underwriters, private equity sponsors, and financial institutions in capital markets and corporate transactions. Candidates should have meaningful experience with debt and equity offerings, SEC-registered and private securities offerings, securities law compliance, public company reporting obligations, and corporate governance matters.

Experience advising clients in the energy, infrastructure, and natural resources sectors, as well as experience with liability management transactions, restructurings, and SPAC transactions, is strongly preferred.

The successful candidate will be a proactive and collaborative lawyer who combines strong technical skills with commercial judgment and a practical, business-oriented approach. The candidate should be capable of independently managing significant portions of transactions, coordinating diligence and disclosure processes, drafting and negotiating transaction documents, and working closely with clients, investment banks, accountants, and opposing counsel.

Candidates should possess exceptional drafting, analytical, issue-spotting, project management, and communication skills and be comfortable working directly with public company management teams and financial institutions on complex and fast-paced transactions.
