Senior Legal Counsel (Corporate & Securities)

• Build and scale the corporate legal function, manage the equity program, and drive transaction readiness and compliance efforts.
• Provide legal support for corporate transactions, including securities offerings, financings, investments, acquisitions, and divestitures.
• Collaborate cross-functionally with other members of the team and other functions including Finance, HR, Marketing, and staff across other departments.

• J.D. degree from an A.B.A. accredited law school; and admitted and member in good standing of a state bar, preferably New York or California
• High ethical standards and strong communication skills
• Experience working at a high growth technology company, in particular at a B2B software or SaaS company
• Willingness to work cross-functionally and on projects that are new and/or unfamiliar
• General corporate transactional experience with a strong background in securities laws; comfortable negotiating and managing corporate transactions (debt and equity financing, secondaries, M&As, JVs)
• 5+ years of experience as a corporate and securities counsel. Not required, but a bonus if you have experience working in-house
• Ability to work on multiple issues simultaneously and set appropriate priorities while delivering results efficiently
