Senior Commercial Counsel

Join Paxos, a leading blockchain technology company, as a Senior Commercial Counsel. In this role, you will partner with various business teams to close deals efficiently while protecting Paxos' interests. You will provide expert legal advice, draft and negotiate complex agreements, and improve scalable contract processes. The ideal candidate will have 6-10 years of commercial legal experience, a deep understanding of practical business issues, and a strong interest in blockchain technology.

• Partner with business teams to close deals efficiently while protecting Paxos' interests, providing clear, pragmatic legal guidance that balances risk with business goals.
• Draft, negotiate, and close complex commercial agreements, managing deals from term sheet through signature, and ensuring compliance with legal standards.
• Build and improve scalable contract processes, clause libraries, playbooks, and self-service resources that help the business move faster while maintaining consistent legal standards.

• Experience leading complex commercial negotiations from initial term sheet through final execution, with sound judgment on when to hold firm and when to compromise
• 6-10 years of commercial legal experience in technology transactions, SaaS agreements, corporate law, mergers & acquisitions, funds, and/or finance at a top tier law firm or high growth technology company (preferably a combination of both)
• Commercial mindset with a deep understanding of practical business issues, and the ability to weigh legal risk against business objectives
• Efficient and judicious use of appropriate AI tools to improve speed and quality, with sound judgment about when human review is essential
• Experience working cross-functionally on multiple projects under tight deadlines while building strong, trusted client relationships
• Excellent written and verbal communication and negotiation skills, including the ability to explain complex legal issues clearly to non-lawyers
• Desire to work in a fast-paced, dynamic, and demanding environment, with comfort handling ambiguity and shifting priorities
• Experience working in a hyper-growth, tech-focused company, with an understanding of how legal teams can scale processes and support the business through rapid change
• Experience working on a wide variety of in-house legal matters, including employment issues, stock option plans, and intellectual property, and comfort handling unfamiliar areas of law as business needs arise
• Strong interest in blockchain technology and its evolving regulatory landscape, with curiosity about how digital assets and tokenization are reshaping financial services
